Finansal Piyasalarda İçeriden Öğrenenlerin Ticareti’nin İşletme Yönetimi, Finansal Piyasalar, Ekonomi ve Hukuk Bağlamında Değerlendirilmesi
Özet
Bu çalışma, finansal piyasalarda içeriden öğrenenlerin ticaretini (insider trading) işletme yönetimi, finansal piyasalar, ekonomi ve hukuk boyutlarıyla bütüncül bir şekilde değerlendirmektedir. İçeriden öğrenenlerin ticareti, kamuya açıklanmamış ayrıcalıklı bilgilerin kullanılarak haksız kazanç sağlanması veya zarardan kaçınılmasıyla piyasa şeffaflığını zedelemekte ve yatırımcı güvenini sarsmaktadır. Çalışmada, gelişmiş ve gelişmekte olan ülke borsaları ile Türk sermaye piyasası mevzuatı (SPK ve Borsa İstanbul) çerçevesinde hukuki düzenlemeler ve yaptırımlar incelenmektedir. Hukuki açıdan ABD, Avrupa Birliği, Avustralya ve Japonya’daki yasaklar karşılaştırılarak tespit ve cezalandırma süreçlerindeki zorluklar vurgulanmaktadır. İşletme yönetimi perspektifinden, bu tür işlemlerin kurumsal yatırım kararlarına, vekalet maliyetlerine ve finansal tabloların alaka düzeyine olumsuz etkileri ele alınmaktadır. Finansal piyasalar ve ekonomi açısından ise bilgi asimetrisi, sermaye maliyeti, likidite ve kredi temerrüt takasları (CDS) gibi türev piyasalarındaki yansımaları değerlendirilmektedir. Sonuç olarak çalışma, tespit edilmesi oldukça güç olan bu ekonomik suçun önlenmesi ve caydırıcılığın artırılması amacıyla veri madenciliği, makine öğrenmesi ve tahmine dayalı modellerin kullanılmasının finansal piyasa gözetimi ve literatür açısından kritik bir ihtiyaç olduğunu ortaya koymaktadır.
This study comprehensively evaluates insider trading in financial markets within the context of business management, financial markets, economics, and law. Insider trading damages market transparency and undermines investor confidence by utilizing non-public privileged information to achieve unfair gains or avoid losses. The study examines legal regulations and sanctions within the framework of stock exchanges in developed and developing countries, alongside Turkish capital market legislation (CMB and Borsa Istanbul). From a legal perspective, prohibitions in the US, European Union, Australia, and Japan are compared, highlighting the inherent challenges in detection and prosecution processes. From a business management perspective, the negative impacts of such transactions on corporate investment decisions, agency costs, and the relevance of financial statements are addressed. In terms of financial markets and the economy, its implications for information asymmetry, cost of capital, liquidity, and derivative markets such as credit default swaps (CDS) are evaluated. Consequently, the study demonstrates that employing data mining, machine learning, and predictive models to prevent this difficult-to-detect economic crime and enhance deterrence is a critical necessity for market surveillance and academic literature.
